Terms of Service

These Terms of Service ("Terms") govern your access to and use of Pennedly ("we", "us", "our") and the Pennedly service at pennedly.com and any associated applications (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service description

Pennedly is an AI-assisted content drafting tool for Threads (Meta) and potentially other social media platforms. It helps you draft posts, suggests replies to comments, and provides analytics. All published content requires your explicit approval before being sent to Threads — Pennedly is a drafting partner, not an autonomous posting bot.

2. Eligibility

• You must be at least 16 years old
• You must have the legal right to manage the Threads account(s) you connect
• You must comply with Meta's Threads Terms of Service and Community Guidelines for all content published through Pennedly

3. Your account

You are responsible for:

• Maintaining the confidentiality of your login credentials
• All activity that occurs under your account
• Notifying us immediately of any unauthorized access
• The accuracy of information you provide

4. Acceptable use

You agree NOT to use the Service to:

• Post spam, harassment, hate speech, or content that violates Meta's Community Guidelines or any applicable law
• Impersonate any person or entity
• Automate engagement (likes, follows) in violation of Meta's policies
• Scrape data from Meta platforms outside the official API
• Attempt to reverse-engineer, decompile, or interfere with the Service
• Use the Service to compete directly with us by replicating its core functionality

Violation of these rules may result in immediate suspension or termination of your account.

5. Content ownership

You retain all rights to the content you create, upload, or publish through Pennedly. By using the Service, you grant us a limited, non-exclusive license to process, store, and transmit your content solely as necessary to provide the Service (for example, sending posts to Meta's API on your behalf, training AI models on your post history to personalize generation, displaying analytics).

We do not claim ownership of your content and do not use it to train shared or general-purpose AI models that benefit other users.

6. AI-generated content

The Service generates suggested posts and replies using AI. You are responsible for reviewing and approving all generated content before it is published. We do not warrant that AI-generated content will be accurate, appropriate, or compliant with applicable laws. You bear sole responsibility for any content published through your account.

7. Subscription and payment

The Service offers free and paid subscription tiers. Paid subscriptions are billed monthly or annually via Stripe (web) or Apple In-App Purchase (iOS). Pricing is shown on our website at the time of purchase.

• Subscriptions auto-renew until cancelled
• You may cancel at any time through your account settings; access continues until the end of the current billing period
• Refunds are governed by Polish consumer protection law and the policies of the payment provider (Apple or Stripe)
• We reserve the right to change pricing with at least 30 days' notice to existing subscribers

8. Free trial

We may offer a free trial period for new accounts. At the end of the trial, you will be charged automatically unless you cancel before the trial ends. Trial terms (length, included features) will be shown at signup.

9. Third-party services

The Service integrates with third-party platforms (Meta Threads, Stripe, Apple, and others). Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for changes in third-party APIs, outages, or policy changes that may affect the Service.

10. Termination

You may terminate your account at any time by contacting us at hi@pennedly.com or through account settings. We may suspend or terminate your account if:

• You violate these Terms
• Required by law
• Continued provision becomes commercially unviable

On termination, your data will be deleted in accordance with our Privacy Policy and applicable retention requirements.

11. Disclaimer of warranties

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or that AI-generated content will meet your specific requirements.

12. Limitation of liability

To the maximum extent permitted by law, Pennedly and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

This limitation does not apply to liability that cannot be excluded under Polish or EU consumer protection law.

13. Indemnification

You agree to indemnify and hold harmless Pennedly from any claims, damages, or expenses arising from your use of the Service in violation of these Terms or applicable law, or from content you publish through the Service.

14. Governing law and disputes

These Terms are governed by the laws of Poland. Any dispute arising from these Terms or the Service shall be resolved by the courts of Poland having jurisdiction over the operator's registered location, unless mandatory consumer protection law of your country of residence provides otherwise.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
